ADT Integrated Smart Solutions Terms and Conditions
These ADT Integrated Smart Solutions Terms and Conditions (these “Terms”) govern ADT LLC’s (“ADT”) provision of ADT’s Integrated Smart Solutions, which include live support for users of the ADT/Route This Wi-Fi Fix Application (the “App”).
BY (I) PURCHASING INTEGRATED SMART SOLUTIONS, (II) CONFIRMING YOUR APPOINTMENT FOR ADT INTEGRATED SMART SOLUTIONS SUPPORT OR (III) CHOOSING TO SPEAK WITH AN ADT REPRESENTATIVE REGARDING YOUR USE OF THE APP OR ANY INFORMATION OR CONTENT DERIVED FROM YOUR USE OF THE APP (collectively, the “INTEGRATED SMART SOLUTIONS”), YOU AGREE TO THESE TERMS. IF YOU DO NOT ACCEPT THESE TERMS, THEN DO NOT PURCHASE INTEGRATED SMART SOLUTIONS, USE INTEGRATED SMART SOLUTIONS OR OTHERWISE SPEAK WITH AN ADT REPRESENTATIVE REGARDING YOUR USE OF THE APP OR ANY INFORMATION OR CONTENT DERIVED FROM YOUR USE OF THE APP. THESE TERMS OF USE MAY BE AMENDED OR UPDATED FROM TIME TO TIME. YOUR USE OF INTEGRATED SMART SOLUTIONS AFTER ANY AMENDMENTS OR UPDATES OF THESE TERMS SHALL SIGNIFY YOUR ASSENT TO AND ACCEPTANCE OF SUCH REVISED TERMS.
1. App Terms of Use. Integrated Smart Solutions may not be used unless a user has downloaded the App and agreed to these Terms and the Terms of Use of the App. The Terms of Use of the App accepted by a user are expressly incorporated into these Terms. In the event of any inconsistency between these Terms and the Terms of Use of the App, these Terms shall prevail solely to the extent that they apply to the use of Integrated Smart Solutions.
2. Integrated Smart Solutions. Integrated Smart Solutions allow a user of the App to obtain assistance from ADT representatives to interpret information collected by the App and troubleshoot any connection issues on the user’s home Wi-Fi network based on information collected by the App. In order to use Integrated Smart Solutions, you must download the App and use the App to collect information concerning the applicable network. Integrated Smart Solutions are available to you at different price tiers for single consultations or on a subscription basis. The Annual Proactive Health Check tier includes ADT specialist review of security settings and notifications of all ADT-provided devices connected to your home Wi-Fi network. The Network Analysis tier includes a diagnostic scan of your home Wi-Fi network plus ADT specialist analysis and evaluation, troubleshooting assistance and network education for all compatible devices connected to your home Wi-Fi network. The Smart Home and Device Support tier includes an assessment, set-up assistance, education and troubleshooting assistance for your compatible smart home system devices. Integrated Smart Solutions are limited to assisting you with troubleshooting internet Wi-Fi connection and bandwidth issues on your home Wi-Fi network and have certain limitations. Integrated Smart Solutions are provided remotely, in-person support is not included unless otherwise agreed by ADT. Integrated Smart Solutions exclude, among other things, the provision of broadband/internet services, support for third-party hardware and software performance issues, troubleshooting for certain incompatible devices, support for configuration or optimization of computer, tablet, smartphone or similar devices, internet service provider issues and other similar issues and limitations. Integrated Smart Solutions only include consultation with you regarding your home Wi-Fi network at the address identified at the time of purchase. If you purchase monitoring and/or smart home services from ADT, your ADT residential services contract for monitoring and/or smart home services (“Monitoring Services”) are applicable to the Monitoring Services and these Terms only apply to Integrated Smart Solutions. An Integrated Smart Solutions subscription includes (1) one Annual Proactive Health Check once per twelve-month period, (2) Unlimited Network Analysis and (3) Unlimited Smart Home and Device Support.
3. Payment; Cancellation. By purchasing Integrated Smart Solutions from an ADT representative, you authorize ADT to charge the applicable service charge and all other charges applicable to your purchase of Integrated Smart Solutions using your payment method on file with ADT or such other payment method authorized by you. Integrated Smart Solutions subscriptions purchased on a recurring month to month basis are billed in advance and are non-refundable. If the amount of your monthly service charge for Integrated Smart Solutions changes, ADT will notify you at least 15 days prior to the payment being collected. If a payment date falls on a weekend or holiday, payment may be executed on the next business day. If an ACH transaction is rejected for non-sufficient funds (NSF), ADT may attempt to process the charge again within 30 days, and an NSF charge may apply. The origination of ACH transactions to your account must comply with the provisions of U.S. law. When you provide account information to ADT, you confirm that you are an authorized user of the bank account or credit card account provided to ADT for payment of charges. Monthly subscriptions and appointments for Integrated Smart Solutions may be cancelled by calling ADT at 1.800.238.2727. Cancellation of monthly subscriptions shall take effect immediately. ADT has the right to increase the monthly recurring service charge for Integrated Smart Solutions subscriptions at any time by providing you as a current subscriber with not less than fifteen (15) days’ prior notice of such increase. New subscriptions and one-time appointments for Integrated Smart Solutions shall be charged at ADT’s prevailing rates unless otherwise agreed in writing by ADT.
4. Equipment. IF YOU PURCHASE AN INTEGRATED SMART SOLUTIONS MONTHLY SUBSCRIPTION PLAN THAT INCLUDES A WI-FI ROUTER OR OTHER EQUIPMENT PROVIDED BY ADT, THE EQUIPMENT AND ANY ASSOCIATED SOFTWARE REMAINS THE PROPERTY OF ADT AND ITS LICENSORS UNLESS OTHERWISE AGREED IN WRITING BY ADT. All routers include third-party software that is subject to additional limitations, licenses and in some cases, limited term subscriptions after which additional subscription fees payable to the software provider may be required. Unless otherwise agreed in writing by ADT, all software included with a router provided by ADT is limited to the terms and initial paid duration of the license to use such software and any subsequent use shall be purchased by you directly from the software provider, not ADT. All ADT-owned equipment and associated software may only be used in connection with personal internet usage at your premises for which Integrated Smart Solutions are provided. ADT-owned equipment may be new or refurbished. Upon termination of your Integrated Smart Solutions subscription, you are required to return all ADT-owned equipment to ADT within thirty (30) days after termination of your subscription in an undamaged condition (subject only to reasonable wear and tear). Please contact ADT at 1-800-493-7807 so that ADT can provide you with return instructions and a return shipping label (please return in the original or other suitable protective packaging). If you fail to return your equipment undamaged (subject to reasonable wear and tear) in accordance with ADT’s return instructions within thirty (30) days after termination of your Integrated Smart Solutions subscription, ADT may charge you an unreturned equipment fee of $279 charged to your payment method on file with ADT. ADT may waive the unreturned equipment fee in its sole and absolute discretion only by providing you with written confirmation of its waiver.
5. Limited Equipment Warranty. During the ninety (90) day period immediately following the date of order by you of any equipment provided in connection with Integrated Smart Solutions, ADT will repair or, at its option, replace any defective part of the equipment provided by ADT at no charge to you using new or refurbished parts with similar features and functionality. This warranty is for equipment and parts only and excludes labor and installation charges. This limited warranty is for your benefit only and may not be enforced by any other person. This limited warranty gives you specific legal rights. The laws of the state where you reside may also give you additional rights. This limited warranty replaces any other equipment warranty, including without limitation, the manufacturer’s warranty.
6. Extended Limited Equipment Warranty/Quality Service Plan (QSP). If you purchase an Integrated Smart Solutions monthly subscription plan that includes a Wi-Fi router provided by ADT, ADT will, during the term of your subscription plan for Integrated Smart Solutions, repair, or at its option, replace any defective part of the router provided by ADT that requires repair or replacement due to malfunction. QSP coverage of the router will terminate upon termination of your subscription for Integrated Smart Solutions.
7. Limitations on Limited Equipment Warranty and QSP. Limited equipment warranty and QSP claims may be made by contacting ADT via telephone at 1-800-238-2727. Unless otherwise agreed in writing by ADT, the limited equipment warranty and QSP coverage will (i) be provided over the telephone, (ii) include shipment of replacement parts/devices to your premises and (iii) require return of your defective equipment to ADT. If you fail to return defective equipment to ADT in accordance with ADT’s instructions within thirty (30) days after ADT replacement equipment is shipped to you, ADT may charge you an unreturned equipment fee of $279 charged to your payment method on file with ADT. No compensation will be provided for downtime due to inoperative devices supplied by ADT and all in-person repairs by ADT personnel at your premises will be subject to ADT’s prevailing labor rates. The limited equipment warranty and QSP do not apply if ADT determines upon inspection that any of the following conditions caused the need for repair/replacement: (A) damage resulting from accidents, theft, Acts of God, natural disasters, labor disputes, war, terrorism, civil strife, electrical surge, alterations or misuse; (B) your failure to properly follow the operating instructions; (C) incompatibility or trouble with your internet connection or internet-connected devices, interference with your Wi-Fi signal or interruption of power; (D) ordinary wear and tear; (E) alterations or damage to the equipment caused by anybody other than ADT or by a cause beyond ADT's control; (F) battery replacement or (G) third-party software supplemental to the basic operating system/firmware of the equipment. The limited equipment warranty and QSP do not apply to equipment or devices not supplied by ADT. ADT will not perform warranty/QSP services on (X) any device not supplied by ADT even if installed by ADT or (Y) any part, equipment or device that has been discontinued or is no longer supported by the device manufacturer. Additionally, you understand that you may be required to purchase new equipment if your equipment is, in whole or in part, discontinued or is no longer supported by the device manufacturer or compatible with any associated services (e.g. internet services) and my failure to purchase said new equipment shall not relieve me of my obligation to pay any amounts owed for service hereunder. Battery replacement is excluded from all warranties. THE EQUIPMENT PROVIDED BY ADT IN CONNECTION WITH YOUR INTEGRATED SMART SOLUTIONS MAY NOT BE COMPATIBLE WITH YOUR INTERNET SERVICES OR YOUR INTERNET-CONNECTED DEVICES.
8. Installation. Equipment provided by ADT is intended for installation by you unless ADT has agreed to provide installation services, subject to applicable installation and other charges. If ADT performs any additional services for you other than Integrated Smart Solutions, such as in-person or virtual installation services or warranty repairs, you agree to pay the applicable fees for such services, which may be charged to your payment method on file with ADT. You are ultimately responsible for any installation work undertaken at your premises unless ADT performs the work on-site. YOU ACKNOWLEDGE AND UNDERSTAND THAT THERE ARE INHERENT RISKS ASSOCIATED WITH INSTALLATION OF EQUIPMENT, INCLUDING WITHOUT LIMITATION, INJURIES AND DAMAGE TO PROPERTY RESULTING FROM THE USE OF TOOLS AND EQUIPMENT. ADT SHALL NOT BE LIABLE FOR ANY INJURIES, DAMAGE OR OTHER LOSSES RESULTING FROM THE INSTALLATION OR ACTIVATION OF EQUIPMENT PROVIDED BY ADT IF SUCH INSTALLATION WAS NOT PERFORMED ON-SITE BY ADT. If ADT agrees to perform installation or equipment maintenance/repair work at your premises, you agree that: (A) you own the premises or have authority to authorize ADT to install/service the equipment at the premises; (B) you will make the premises available without interruption during ADT's normal working hours and will maintain the premises in a safe and sanitary condition suitable for work to be performed by ADT's representatives without jeopardizing their health or safety; (C) you authorize any required drilling into various walls and other parts of the premises to complete the work; (D) you will provide ADT with 110 AC electrical outlets for power and an internet connection to equipment in locations designated by ADT; (E) you will make arrangements for any physical alterations to your premises necessary to complete the installation of equipment; (F) ADT may not be able to conceal any or all equipment or wiring; (G) ADT will not be liable for property damage, personal injury, illness or other loss due to water intrusion, mold, fungi, wet or dry rot or bacteria that may result from the installation of the equipment; and (H) your premises complies with all applicable codes, regulations and laws and will continue to comply with all applicable codes, regulations and laws while ADT provides you with Integrated Smart Solutions. ADT shall not be liable for any losses whatsoever resulting from installation or other services either performed by you or a third-party provider engaged by you. You acknowledge and understand that any third-party provider engaged by You is not an employee, subcontractor, or agent of ADT and that any payment obligations to such provider are your sole responsibility.
9. Arbitration. ADT AND YOU AGREE THAT ANY AND ALL DISPUTES BETWEEN US SHALL BE GOVERNED BY THIS BINDING ARBITRATION AGREEMENT. Arbitration is a dispute-resolution process that does not involve a judge or jury. Instead, Disputes are decided by a neutral third-party arbitrator in a process that is less formal than court. As used herein, the term "Dispute" means any claim or controversy, including, but not limited to, initial claims, counterclaims, cross-claims and third-party claims, whether based in contract; tort; fraud; intentional acts; violation of any statute, code or regulation, or other legal theory. The term "Dispute" shall be given the broadest possible meaning and will apply to, without limitation, all claims and controversies arising from your use of Integrated Smart Solutions; these Terms; sales activities; goods and services; advertisements, promotions and other statements; billing and collection practices; privacy; and any other dispute arising from your interaction or relationship with ADT. ADT agrees not to elect arbitration if you file a Dispute in a small claims court in your state of residency so long as the Dispute is individual and non-representative in nature and remains exclusively as such in small claims court. Pre- Arbitration Notice Requirement. Before initiating an arbitration or a small claims matter, ADT and you agree to first provide to the other a written "Notice of Dispute" that will contain: (a) a written description of the issue and the supporting documents and information, and (b) a specific request for money or other relief. A Notice of Dispute to ADT should be sent to: Litigation Department, ADT Security Services, 1501 Yamato Dr., Boca Raton, FL 33431. ADT will mail a Notice of Dispute to your address of record for your account and/or email it to your email address for your ADT account or send to such other address specified by you. ADT and you agree to make attempts to resolve the Dispute prior to commencing an arbitration or small claims action. If an agreement cannot be reached within forty-five (45) days of receipt of the Notice of Dispute, ADT or you may commence an arbitration proceeding or small claims action. Initiation of Arbitration Proceeding. If either party elects to arbitrate a Dispute, the Dispute shall be resolved by arbitration pursuant to this Arbitration Agreement and the then-current code of proceedings of the national arbitration organization to which the Dispute is referred. A party may refer a Dispute to either the American Arbitration Association ("AAA") or the Judicial Arbitration and Mediation Services ("JAMS"). If ADT elects arbitration and chooses one of the organizations to administer, you may object and automatically have the other organization administer the proceedings simply by notifying ADT of your objection in writing within 30 days of your receipt of ADT's initial selection. To obtain a copy of the procedures, or to file a Dispute, you may contact the organizations at the following: (1) AAA, 335 Madison Avenue, New York, NY 10017, www.adr.org, and (2) JAMS, 1920 Main Street, Suite 300, Los Angeles, CA 92614, www.jamsadr.com. IF EITHER PARTY ELECTS TO ARBITRATE A DISPUTE, ADT AND YOU WAIVE THE RIGHT TO A JURY TRIAL AND TO OTHERWISE LITIGATE THE DISPUTE IN COURT. BY AGREEING TO ARBITRATE, THE PARTIES MAY ALSO WAIVE OTHER RIGHTS THAT WOULD OTHERWISE BE AVAILABLE IN COURT. FURTHER, IF EITHER PARTY ELECTS TO ARBITRATE A DISPUTE, YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A REPRESENTATIVE CAPACITY OR TO PARTICIPATE AS A MEMBER OF ANY CLASS ACTION RELATING TO THE DISPUTE. This means that all Disputes selected for arbitration will be arbitrated on an individual basis, between ADT and you only, without exception. A Dispute cannot be joined or consolidated with any other claim or action. Arbitration Proceedings. Because your transaction(s) with ADT involves interstate commerce, this Arbitration Agreement and any Dispute arbitrated hereunder shall be governed by the Federal Arbitration Act ("FAA"). The JAMS or AAA code of procedures, as chosen, will govern the arbitration, but if there is a conflict between the applicable code of procedures and this Arbitration Agreement, this Arbitration Agreement shall control to the fullest extent permitted by the FAA. Unless otherwise agreed to by the parties, the arbitration will be conducted by a single, neutral arbitrator at a location within the federal judicial district in which you reside. Upon your request, ADT will reimburse you for all filing and administrative fees required for initiating the arbitration. Otherwise, each party is responsible for its own respective costs and fees, including, but not limited to, attorney and expert fees. The arbitrator shall apply applicable substantive law and, upon the request of either party, issue a written explanation of the basis for the decision. Judgment on the arbitration award may be entered in any court having proper jurisdiction. EXCEPT AS FOLLOWS, THE ARBITRATOR'S DECISION WILL BE FINAL AND BINDING. A party may appeal the arbitrator's initial award to a three-arbitrator panel administered by the same arbitration organization upon written notice within 30 days of the initial award. The arbitration organization will notify the other party of the appeal. The panel shall consider any aspect of the initial award objected to by the appealing party and issue a decision within 120 days of the date of the notice of appeal. The majority decision by the three-member panel shall be final and binding. Any dispute regarding the applicability, enforcement or interpretation of this Arbitration Agreement, shall be resolved by a court having proper jurisdiction. This Arbitration Agreement will not prevent you from bringing a Dispute to the attention of any federal, state or local government agency. This Arbitration Agreement shall survive termination of Integrated Smart Solutions, these Terms or any other agreement between you and ADT.
10. Your Warranties to ADT Integrated Smart Solutions are not for use except in connection with permitted use of the App pursuant to these Terms and the Terms of Use of the App. You are responsible for purchasing and maintaining your home internet service from your internet provider and electrical power for your internet devices, including for any equipment provided by ADT.
11. ADT Privacy Policy; Personal Information. ADT maintains a privacy policy at www.adt.com/privacy that is applicable to the use of Integrated Smart Solutions by any user. By using Integrated Smart Solutions, you consent to ADT’s use of your personal information and that of third parties provided by you for the purpose providing Integrated Smart Solutions, enforcing these Terms and the Terms of Use of the App and providing information on new equipment or services. You consent to ADT recording your conversations over any means of communication with ADT representatives. You have obtained the consent of the third parties whose personal information you provide to ADT to use such personal information for the provision of Integrated Smart Solutions. ADT may collect, use, disclose and transfer your personal information, and that of third parties provided by you, to ADT’s parents, affiliates, subsidiaries and successor corporations, any subcontractor or assignee of these Terms or any applicable authority have jurisdiction that requests such information in connection with provision of any services by ADT.
12. Marketing; Third Party Products and Services. You acknowledge and agree that Integrated Smart Solutions may contain marketing and/or solicitations for ADT products and services. You further acknowledge and agree that any third-party products and services discussed during or pursuant to Integrated Smart Solutions are not endorsements, promotions or marketing of such products and services by ADT. It is your choice which products and services you choose to use in connection with or on the Wi-Fi network discussed during or in connection with Integrated Smart Solutions and ADT does not have any liability for any products or services it does not sell or provide.
13. DISCLAIMER OF REPRESENTATIONS, WARRANTIES AND CONDITIONS. INTEGRATED SMART SOLUTIONS AND ALL MATERIALS PROVIDED IN CONNECTION THEREWITH ARE PROVIDED "AS IS." EXCEPT FOR THE LIMITED EQUIPMENT WARRANTY DESCRIBED IN SECTION 5 AND THE EXTENDED LIMITED WARRANTY DESCRIBED IN SECTION 6 ABOVE, ADT SPECIFICALLY DISCLAIMS ALL REPRESENTATIONS, WARRANTIES AND CONDITIONS, EITHER EXPRESS, IMPLIED, STATUTORY, BY USAGE OF TRADE, COURSE OF DEALING OR OTHERWISE IN CONNECTION WITH INTEGRATED SMART SOLUTIONS AND ANY EQUIPMENT PROVIDED BY ADT, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, TITLE, SATISFACTORY QUALITY OR FITNESS FOR A PARTICULAR PURPOSE. ANY INFORMATION OR MATERIAL OBTAINED IN CONNECTION WITH THE USE OF INTEGRATED SMART SOLUTIONS IS AT YOUR OWN DISCRETION AND RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM, NETWORK, LOSS OF DATA, OR ANY OTHER LOSS THAT RESULTS FROM USING ANY SUCH MATERIAL OR INFORMATION OR FROM FOLLOWING THE SUGGESTIONS OR DIRECTIONS DISCUSSED DURING OR IN CONNECTION WITH INTEGRATED SMART SOLUTIONS. ADT DOES NOT WARRANT, ENDORSE, GUARANTEE, PROVIDE ANY CONDITIONS OR REPRESENTATIONS, OR ASSUME ANY RESPONSIBILITY FOR ANY PRODUCT OR SERVICE NOT SOLD DIRECTLY BY ADT. ADT MAKES NO WARRANTY THAT PERFORMANCE OF YOUR WI-FI NETWORK OR DEVICES CONNECTED TO YOUR HOME WI-FI NETWORK WILL IMPROVE AFTER USE OF INTEGRATED SMART SOLUTIONS OR OTHER CONSULTATION WITH ADT. SOME STATES MAY NOT ALLOW THE PARTIES TO A CONTRACT TO LIMIT THE LENGTH OF AN IMPLIED WARRANTY. THE LAWS OF THE STATE WHERE YOU RESIDE WILL DETERMINE WHETHER THESE LIMITATIONS AND EXCLUSIONS APPLY.
14. LIMITATION OF LIABILITY. UNDER NO CIRCUMSTANCES SHALL ADT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR OTHER DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, ANY DAMAGES THAT RESULT FROM (I) YOUR USE OF OR YOUR INABILITY TO USE INTEGRATED SMART SOLUTIONS OR ANY EQUIPMENT PROVIDED BY ADT, (II) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS, DATA, INFORMATION OR SERVICES, (III) ERRORS, MISTAKES, OR INACCURACIES IN THE INFORMATION OR MATERIALS OBTAINED IN CONNECTION WITH INTEGRATED SMART SOLUTIONS, (IV) PERSONAL INJURY OR PROPERTY DAMAGE OF ANY KIND WHATSOEVER ARISING FROM OR RELATING TO YOUR USE OF INTEGRATED SMART SOLUTIONS, ANY BUGS, VIRUSES, TROJAN HORSES, OR ANY OTHER FILES OR DATA THAT MAY BE HARMFUL TO COMPUTER OR COMMUNICATION EQUIPMENT OR DATA THAT MAY HAVE BEEN TRANSMITTED IN CONNECTION WITH INTEGRATED SMART SOLUTIONS, (V) DELAYS IN THE PROVISION OF ANY SERVICES OR EQUIPMENT BY ADT, OR (IV) ANY OTHER LOSS OR DAMAGE OF ANY KIND ARISING FROM OR RELATING TO YOUR USE OF INTEGRATED SMART SOLUTIONS OR EQUIPMENT PROVIDED BY ADT. THESE LIMITATIONS SHALL APPLY EVEN IF ADT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, ADT’S LIABILITY TO YOU FOR ANY DAMAGES ARISING FROM OR RELATED TO THIS AGREEMENT (FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION), WILL AT ALL TIMES BE LIMITED TO THE GREATER OF (A) FIFTY U.S. DOLLARS ($50) OR (B) THE TOTAL AMOUNT YOU HAVE PAID TO ADT (IF ANY) FOR INTEGRATED SMART SOLUTIONS IN THE 12 MONTHS PRIOR TO THE DATE OF DELIVERY OF YOUR WRITTEN CLAIM TO ADT. THE FOREGOING LIMITATIONS SHALL APPLY TO THE FULLEST EXTENSION PERMITTED BY LAW IN THE APPLICABLE JURISDICTION. NO SUIT OR ACTION SHALL BE BROUGHT AGAINST ADT AFTER THE SHORTER OF ONE (1) YEAR AFTER THE DATE OF LOSS OR (2) THE TIME ALLOWED BY LAW.
15. INDEMNIFICATION. YOU SHALL INDEMNIFY AND HOLD ADT AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, AGENTS, AND EMPLOYEES, HARMLESS FROM ALL CLAIMS, ACTIONS, PROCEEDINGS, DEMANDS, DAMAGES, LOSSES, COSTS, AND EXPENSES (INCLUDING REASONABLE ATTORNEYS' FEES), INCURRED IN CONNECTION WITH YOUR USE OF INTEGRATED SMART SOLUTIONS AND ANY INFORMATION OR MATERIALS SUBMITTED, POSTED, TRANSMITTED OR MADE AVAILABLE BY YOU THROUGH INTEGRATED SMART SOLUTIONS AND/OR ANY VIOLATION BY YOU OF THESE TERMS.
16. Termination. ADT may, without prior notice, immediately terminate your ability to use Integrated Smart Solutions. You acknowledge and agree that all such terminations may be made by ADT in its sole discretion and that ADT shall not be liable to you or any third-party for any such termination.
17. Security. Information sent or received over the Internet is generally unsecure and ADT cannot and does not make any representation or warranty concerning security of any communication to or from the App or otherwise over the Internet or any representation or warranty regarding the interception by third parties of personal or other information.
18. General. These Terms, together with the Terms of Use of the App and ADT’s privacy policy referenced herein, constitute the entire agreement between the parties relating to Integrated Smart Solutions and all related activities. The sale or provision of any other products or services by ADT shall be governed by the terms of sale or service agreed in connection with such sale or service. These Terms shall not be modified except as agreed in writing signed by both parties or by a new posting of these Terms as set forth above. If any part of these Terms is held to be unlawful, void, or unenforceable, that part shall be deemed severed and shall not affect the validity and enforceability of the remaining provisions. The failure of ADT to exercise or enforce any right or provision under these Terms shall not constitute a waiver of such right or provision. Any waiver of any right or provision by ADT must be in writing and shall only apply to the specific instance identified in such writing. You may not assign these Terms, or any rights or licenses granted hereunder, whether voluntarily, by operation of law, or otherwise without ADT’s prior written consent.
